3. TIMELINE & MILESTONES:

  1. Project Start Date: July 5, 2025 (Upon receipt of deposit and all necessary assets)
  2. First Draft Delivery: Within 7 business days of Project Start Date (by July 16, 2025).
  3. Final Delivery: Within 3 business days of final Client approval.
  4. Project Completion Date Goal: July 30, 2025

4. PRICING AND PAYMENT TERMS:

  1. Total Project Fee: $1,500.00 (One Thousand Five Hundred Dollars)
  2. Deposit Required: $750.00 (Seven Hundred Fifty Dollars) due on July 3, 2025 (50% of Total Fee). This deposit is non-refundable.
  3. Balance Due: $750.00 (Seven Hundred Fifty Dollars) due upon final approval and before final file delivery.
  4. Accepted Payment Methods: Bank Transfer (ACH), Zelle.
  5. Late Payment Fee: 5% of outstanding balance per week after 7 days overdue.

5. REVISION POLICY:

  1. The Total Project Fee includes two (2) rounds of revisions following the delivery of the first draft.
  2. A "round of revisions" is defined as a single consolidated list of changes provided by the Client withinbusiness days of receiving a draft.
  3. Additional revision rounds beyond the included amount will be billed at an hourly rate of $85 per hour.

6. INTELLECTUAL PROPERTY & OWNERSHIP:

  1. The Client retains ownership of all raw footage and existing animated brand assets provided to the Editor.
  2. Upon full and final payment, the Client shall own the final edited video.
  3. Editor retains copyright to any original creative elements (e.g., unique transitions designed by Editor) unless otherwise specified.
  4. Client is responsible for obtaining all necessary rights and licenses for third-party materials (e.g., royalty-free music tracks selected by Editor and approved by Client, stock footage) used in the project.

7. CANCELLATION AND TERMINATION:

  1. Either party may terminate this Agreement withdays written notice.
  2. If Client terminates, Editor shall be compensated for all work completed up to the date of termination, based on the hourly rate of $85 per hour or a prorated portion of the fixed fee, plus reimbursement for any incurred expenses. The deposit is non-refundable.

8. CLIENT RESPONSIBILITIES:

  1. Provide all necessary raw footage and brand assets by July 3, 2025.
  2. Provide timely feedback and approvals withinbusiness days of receiving drafts.
  3. Ensure accuracy of all product information and scripts provided to Editor.

9. CONFIDENTIALITY:

Both parties agree to keep all proprietary and confidential information related to the "Quantum Leap" product launch confidential until the official launch date.

10. ENTIRE AGREEMENT:

  2. This fee covers up to 20 hours of service per month.

  3. Upon termination, Editor shall be compensated for all hours worked up to the termination date.

4. PROJECT SUBMISSION & TURNAROUND:

  1. Client will submit raw footage and project instructions via Asana project management tool.
  2. Editor will endeavor to complete standard YouTube tutorial edits withinbusiness days of receiving all necessary assets and clear instructions. Social media clips within 2 business days.
  3. Revisions: Each video deliverable includesrounds of revisions. Additional rounds billed at overtime rate.

5. INTELLECTUAL PROPERTY & OWNERSHIP:

  1. Client retains ownership of all raw footage provided.
  2. Upon full and final payment for monthly services, Client shall own the final edited videos created under this Agreement.
  3. Editor retains copyright to any reusable custom editing presets or templates created by Editor for general use unless explicitly purchased by Client for exclusive use.

6. CONFIDENTIALITY:

Both parties agree to maintain strict confidentiality regarding project details, client strategies, and proprietary content before its public release.10

7. CLIENT RESPONSIBILITIES:

  • Provide timely raw footage and clear, concise instructions for each editing task via Asana.
  • Provide consolidated feedback withinbusiness days of receiving drafts.
  • Maintain open communication regarding content needs and upcoming projects.

8. EDITOR RESPONSIBILITIES:

  4. Delivery Method: Secure Aspera Connect FTP server link, accessible for 7 days.

  1. Footage Delivery to Provider: By August 5, 2025 (Picture Locked AAF/XML and source footage).

6. INTELLECTUAL PROPERTY & OWNERSHIP:

  1. Client retains ownership of all raw footage provided.
  2. Upon full and final payment, Client shall own the final graded footage.
  3. Provider retains ownership of any custom presets, specific LUTS, or proprietary grading techniques developed by Provider, but grants Client a perpetual, non-exclusive license to use the final Project LUT for subsequent adjustments on other footage from this project.

7. CLIENT RESPONSIBILITIES:

  2. Provide clear and consolidated feedback for revisions, preferably with timecode references, within the stated timeframe.
